1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and FlowMate, Inc. ("FlowMate," "we," "us," or "our") concerning your access to and use of the FlowMate platform, including our website, applications, and services (collectively, the "Service").

BY ACCESSING OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS. If you disagree with any part of these Terms, you do not have permission to access the Service.

2. Eligibility

To use FlowMate, you must:

• Be at least 18 years old
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using the Service under applicable law
• Provide accurate, current, and complete account information
• Maintain valid email accounts (Gmail and/or Outlook) for Service functionality

By using the Service, you represent and warrant that you meet these eligibility requirements.

3. Account Registration and Security

3.1 Account Creation

• You must create an account to access certain features
• You agree to provide accurate and truthful information
• You are responsible for maintaining account security
• One account per user (no sharing or transferring accounts)

3.2 Email Account Access

FlowMate requires OAuth access to your Gmail and/or Outlook accounts to provide the Service. By granting access, you authorize us to:

• Read, analyze, and process your email content
• Access email metadata (timestamps, senders, recipients, labels)
• Generate AI-powered summaries and insights
• Organize and categorize your emails

You may revoke access at any time through your Google or Microsoft account settings. Revoking access will disable FlowMate's functionality.

3.3 Account Security

• Keep your password secure and confidential
• Enable two-factor authentication when available
• Notify us immediately of unauthorized access
• You are responsible for all activity under your account

4. Acceptable Use Policy

4.1 Permitted Use

You may use FlowMate for:

• Personal or business email management
• Productivity and workflow optimization
• Lawful business purposes

4.2 Prohibited Activities

You agree NOT to:

• Violate any laws, regulations, or third-party rights
• Send spam, phishing emails, or malicious content
• Attempt to hack, reverse engineer, or compromise the Service
• Use automated tools (bots, scrapers) without permission
• Interfere with other users' access to the Service
• Upload viruses, malware, or harmful code
• Impersonate others or provide false information
• Violate intellectual property rights
• Use the Service for illegal surveillance or harassment
• Resell or redistribute the Service without authorization

5. Subscription and Billing

5.1 Pricing

• FlowMate offers free and paid subscription tiers
• Pricing is subject to change with 30 days' notice
• All fees are in Euros (EUR)
• Taxes may apply based on your location

5.2 Payment Terms

• Subscriptions are billed monthly or annually (as selected)
• Payment is processed via Stripe (secure payment processor)
• Automatic renewal unless cancelled before renewal date
• No refunds for partial months (except as required by law)

5.3 Cancellation and Refunds

• You may cancel your subscription at any time
• Access continues until the end of your billing period
• No refunds for unused time (except within 14 days of initial purchase)
• 14-day money-back guarantee for first-time subscribers

5.4 Free Tier Limitations

• Free tier includes limited features and usage quotas
• We may modify or discontinue the free tier at any time
• No guarantee of uptime or support for free users

6. Intellectual Property Rights

6.1 FlowMate's IP

The Service, including all content, features, functionality, software, code, designs, graphics, text, and trademarks, is owned by FlowMate and protected by copyright, trademark, and other intellectual property laws.

6.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal or internal business purposes, subject to these Terms.

6.3 Your Content

• You retain ownership of your email content
• You grant us a license to process your emails to provide the Service
• We do NOT claim ownership of your emails or data
• AI-generated summaries are derived works licensed to you

6.4 Feedback

Any feedback, suggestions, or ideas you provide become our property and may be used without compensation or attribution.

7. Privacy and Data Protection

Your use of the Service is also governed by our Privacy Policy. By using FlowMate, you consent to our collection, use, and disclosure of your information as described in the Privacy Policy.

7.1 Data Security

While we implement industry-standard security measures, we cannot guarantee absolute security. You use the Service at your own risk.

7.2 Data Deletion

Upon account deletion, we will delete your personal data within 90 days, except where retention is required by law or for legitimate business purposes.

8. Third-Party Services

FlowMate integrates with third-party services including:

• Google Gmail: Email access via Gmail API
• Microsoft Outlook: Email access via Microsoft Graph API
• AI Providers: OpenAI, Anthropic Claude, Google Gemini for AI processing
• Payment Processing: Stripe for billing

Your use of these services is subject to their respective terms and privacy policies. We are not responsible for third-party services or their availability.

9. Service Availability and Modifications

9.1 Uptime

We strive for 99.9% uptime but do not guarantee uninterrupted access. The Service may be unavailable due to maintenance, updates, or unforeseen issues.

9.2 Service Modifications

• We may modify, suspend, or discontinue features at any time
• We will provide reasonable notice for material changes
• Continued use after changes constitutes acceptance

9.3 Beta Features

Beta features are provided "as-is" without warranties. We may discontinue beta features at any time without notice.

10. Termination

10.1 Termination by You

You may terminate your account at any time through account settings or by contacting support.

10.2 Termination by Us

We may suspend or terminate your account immediately if you:

• Violate these Terms or our Acceptable Use Policy
• Fail to pay subscription fees
• Engage in fraudulent or illegal activity
• Abuse or misuse the Service
• Pose a security risk to other users

10.3 Effect of Termination

• Your right to use the Service immediately ceases
• We may delete your data after 90 days
• Provisions that should survive termination remain in effect
• No refunds for prepaid fees (except as required by law)

11. Disclaimers and Limitations of Liability

11.1 No Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.

11.2 AI Accuracy Disclaimer

AI-generated summaries and insights are provided for informational purposes only. We do not guarantee accuracy, completeness, or reliability of AI outputs. You should verify important information independently.

11.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLOWMATE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

Our total liability for all claims shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

12. Indemnification

You agree to indemnify, defend, and hold harmless FlowMate, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including legal fees) arising out of:

• Your violation of these Terms
• Your misuse of the Service
• Your violation of any law or third-party rights
• Your email content or data

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of Poland and the European Union, without regard to conflict of law principles. For EU consumers, nothing in these Terms affects your statutory rights under applicable consumer protection laws.

13.2 Dispute Resolution

Any dispute arising out of these Terms shall be resolved through good faith negotiation. If negotiation fails, disputes may be brought to the competent courts in Krakow, Poland, or your local jurisdiction if you are an EU consumer.

• You retain all statutory rights under EU consumer protection law

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and FlowMate regarding the Service.

14.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.

14.3 No Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right.

14.4 Assignment

You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

14.5 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control (e.g., natural disasters, war, pandemics, internet outages).

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Posting updated Terms with a new "Last Updated" date
• Sending an email notification
• Displaying a notice in the Service

Changes become effective 30 days after notification. Continued use of the Service after changes constitutes acceptance.
